Acceptance of Terms - Binding Agreement: Accessing, registering, or using this service means you explicitly agree to be bound by this term and all policies (including our Privacy Policy) and guidelines referenced herein. If you do not agree with any part of this term, you should not access or use this service. - Age Restriction: You declare you have reached the legal age to enter into this agreement according to the laws of your jurisdiction. - Terms Changes: LINKBRIDGE reserves the right to modify, revise, or replace any part of This Term at any time. Any modification, revision, or replacement of the Terms by LINKBRIDGE, including but not limited to paid subscription price adjustments, automatic renewal rules, and other content directly affecting user rights and interests, will become effective upon posting on This Service, and user’s continued use of This Service shall constitute acceptance of the modified terms. LINKBRIDGE is not responsible for user loss or inconvenience caused by terms changes. Any revisions will become effective upon posting on This Service. LINKBRIDGE has the right to modify this term at any time. Any such changes will be notified to the user in a conspicuous manner, including but not limited to sending an email to the user's registered email address or posting an announcement on the homepage of the website. Your continued use of this service after any such changes constitutes acceptance of the modified terms. Account Registration and Security - Account Requirements: You may need to create an account before accessing certain features of this service. You agree to provide accurate, current, and complete information upon registration. If the user provides false, outdated, or incomplete information, LINKBRIDGE has the right to immediately terminate or suspend the user’s account and reserves the right to pursue its legal liability. - Personal Account Responsibility: Your account and password are for your personal use only and may not be shared or transferred. You agree to: Will not create an account used to abuse this service features or deceive other users. You must immediately notify LINKBRIDGE upon discovery of any unauthorized use of your account or any other security breach. Failure to notify promptly gives LINKBRIDGE the right to suspend or terminate your account and to be exempted from any resulting liability. - Confidentiality: You are fully responsible for maintaining the confidentiality of your password or other account identifiers and for all activities that occur under your account. Paid Subscription and Membership - Subscription Fees and Renewal: Certain advanced features or exclusive communities of this service may require a paid subscription (“Digital Membership”). Unless you cancel the subscription at least 30 days before the end of the current subscription cycle, the Digital Membership will automatically renew, and the renewal period depends on the type of membership you select (e.g., monthly or annually). - Price Changes: LINKBRIDGE reserves the right to change the price of the Digital Membership from time to time. Notification of price changes will be sent via email or in-service announcement, with at least a [30] days' notice to the user. Price changes only apply to subscriptions beginning after the start of the renewal cycle and are not affected during the current subscription cycle. We will inform you of the price change at least 30 days before it takes effect via email or in-service notification. If you do not agree with the new price, you have the right to cancel the paid subscription before the price takes effect, and the paid fees will not be refunded. - Payment Processing: LINKBRIDGE may use a third-party payment platform (“Third-Party Payment Platform”) to process credit card transactions and subscription fees. If payment fails, the user must complete the payment of the outstanding amount within [7] working days after receiving the notification, and a late fee of [10]% of the unpaid amount will be charged monthly for overdue payments. Continuous [3] payment failures will result in automatic termination of the membership and all unpaid amounts immediately becoming due. You agree to be bound by the terms of service and privacy policy of the Third-Party Payment Platform when using it. LINKBRIDGE is not responsible for any indirect loss or damage resulting from the use of the payment platform, except for direct losses caused by LINKBRIDGE's gross negligence or intentional acts. - Trial Period: If This Service offers a trial period, the membership will automatically continue at the full price after the trial period ends. The trial period does not apply to Advanced Membership and Enterprise Membership types. Export Control Compliance - Compliance Obligation: When accessing paid subscription services, you agree to comply with all applicable export control laws and economic sanctions programs (including but not limited to the EU, UN, UK, and US sanctions lists). - Prohibited Access: You shall not access or use the Digital Membership in any prohibited jurisdiction (“Prohibited Jurisdiction,” i.e., areas subject to the aforementioned sanctions), nor shall you provide access to governments, entities, or individuals located in any Prohibited Jurisdiction. - Your Guarantee: You declare and guarantee that: (a) You are not listed on any government sanction list; (b) You are not a national or registered company of any Prohibited Jurisdiction. Post, submit, or otherwise transmit illegal, defamatory, abusive, obscene, or offensive material. Attempt to decrypt, decompile, disassemble, or reverse engineer any part of this service. Infringe upon the rights of LINKBRIDGE or any third party in any way, including but not limited to intellectual property rights or privacy rights. Interfere with or disrupt the normal operation of this service or the servers or networks connected to this service. All proprietary rights related to third-party material remain with the original author or original source. - Specific Content License (Non-Commercial Use): LINKBRIDGE may designate certain digital content (“Designated Content”) to allow users to copy and redistribute it according to the Creative Commons Attribution-NonCommercial-NoDerivatives 4.0 International License (CC BY-NC-ND 4.0). - Under this license, you must properly attribute, the purpose of use must be non-commercial, and no changes, transformations, or derivative works of the content shall be made. - LINKBRIDGE reserves the right to revoke the CC BY-NC-ND 4.0 license at any time. The specific conditions and procedures for revoking the CC BY-NC-ND 4.0 license include but are not limited to: 1) LINKBRIDGE must give the licensee 30 days’ written notice; 2) the reasons for revoking the license must comply with relevant laws and regulations; 3) LINKBRIDGE must publicly announce the decision and reasons for revoking the license on its official website. - User Content (Content You Upload): - You retain all rights and ownership to the “User Content” you upload, post, or provide. - By posting content, you grant LINKBRIDGE a worldwide, royalty-free, non-exclusive, sublicensable, perpetual license to use, reproduce, modify, publish, distribute, and commercially exploit the content for the purpose of providing, improving, and promoting this service, including but not limited to integrating User Content into databases or derivative works. - You guarantee that you own or have obtained all necessary licenses, rights, and consents to post the User Content you submit. You are personally responsible for providing appropriate protection for your equipment. Limitation of Liability - Scope of Disclaimer: To the maximum extent permitted by applicable law, LINKBRIDGE and its directors, employees, partners, agents, or suppliers are not responsible for any indirect, incidental, collateral, consequential, or punitive damages (including but not limited to loss of profits, loss of data, or other intangible losses) arising from the use of this service. - Liability Cap: If you suffer any form of damage or loss due to the use of This Service, the total liability and maximum liability assumed by LINKBRIDGE shall not exceed the total amount of the digital membership subscription fees (if any) paid by you to LINKBRIDGE in the twelve (12) months preceding the event giving rise to the claim. - If the user's intentional or gross negligence behavior causes damage, or if the user violates any provision of This Term, this clause's limitation of liability shall not apply, and the user shall fully compensate LINKBRIDGE for all losses suffered as a result. - The user agrees that, under no circumstances, will LINKBRIDGE be liable for the user's expected benefits, loss of goodwill, or special damages. Indemnification You agree to defend, indemnify, and hold harmless LINKBRIDGE INTERNATIONAL LTD. and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way related to: (a) Your access to or use of this service; LINKBRIDGE's liability cap is the total subscription fees paid by the user in the past [6] months, and it does not bear any indirect, incidental, special, or consequential damages. The user agrees that LINKBRIDGE shall not be liable for any third-party claims or losses caused by the user's conduct. (b) Your breach of this term or any applicable law or regulation; (c) Your infringement of any rights of any third party. If the user infringes any third-party rights, LINKBRIDGE has the right to immediately suspend or terminate the service and reserves the right to pursue legal liability. If you no longer accept This Term or any modification thereof, you must immediately stop using this service. - LINKBRIDGE Right to Terminate: If we believe you have failed to comply with this term, we reserve the right, in our sole discretion, to immediately terminate or suspend your access to this service without prior notice. Consequence of Termination: Upon termination, your right to use this service will immediately cease. All parts of this term which by their nature should survive termination (such as Intellectual Property, Disclaimers, and Limitation of Liability) shall survive termination. Please refer to our separate for how LINKBRIDGE collects, uses, and protects the personal data you provide. The parties further agree that the courts of England and Wales have exclusive jurisdiction over any disputes arising out of or related to this term. When the service content involves users in the European Union, the special provisions on the applicable law of consumer contracts in Article 6 of the Rome I Regulation shall apply first. - Jurisdiction: You agree that any dispute arising out of or related to this term shall be submitted to the courts of England and Wales with exclusive jurisdiction for resolution. - Dispute Resolution Procedure: The parties agree that in case of a dispute, it shall first be resolved through friendly negotiation, and the negotiation period shall not exceed 30 days. If the negotiation fails, either party may submit the dispute to the exclusive jurisdiction of the Commercial Court of the High Court of London. - Special Reminder: The governing law and choice of court content of this term have been prominently reminded in bold font on the user registration page. The user’s click to agree is deemed to be full knowledge and acceptance of such arrangements.
